These Terms govern access to and use of the Panoptik mobile application, website, paid features, and related services.

Acceptance of Terms

These Terms of Service (“Terms”) govern your access to and use of Panoptik, including the Panoptik mobile application, website, and related services. Panoptik is operated by Trenton Ryu (“Panoptik,” “we,” “us,” or “our”).

By creating an account, joining an event, recording a clip, viewing event content, purchasing paid features, or otherwise using Panoptik, you agree to these Terms. If you do not agree, do not use Panoptik.

1. What Panoptik Is

Panoptik is a private group video app for capturing events through random recording prompts and limited discretionary clips.

Users can create events, invite others using an in-app event code, receive random recording prompts, record discretionary clips within event limits, and view the group’s clips after the event ends or is ended by the event creator.

Panoptik is designed for small private groups. At launch it does not provide public feeds, public profiles, followers, comments, likes, reactions, public sharing, or in-app messaging.

2. Eligibility

You must be at least 13 years old to use Panoptik. If you are under 18, you may use it only with permission from a parent or legal guardian.

You may not use Panoptik if applicable law prohibits you from using the service or if we have previously suspended or terminated your account.

3. Accounts

An account is required to use Panoptik. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.

You agree to provide accurate account information and keep it current. You may change your username and profile photo after account creation.

You may delete your account inside the app or request deletion by contacting support@panoptikapp.com. Account deletion is permanent and deleted accounts cannot be restored.

4. Events and Groups

Any Panoptik user may create an event. Event creators set event details and recording settings, including event duration, video length, number of random prompts, and discretionary-clip limits.

Users join events by entering an in-app event code. Panoptik does not access user contact books for event invites.

Event creators cannot remove individual members. Users may leave an event at any time; clips they already recorded remain in the event, and they stop receiving event-specific notifications. Users may rejoin an active event if they still have its code. Codes do not necessarily expire, but work only while the event is active.

The creator may end an event early or delete an entire event before the automatic deletion period ends. Deleting an event deletes the event and all associated clips, final videos, and highlight videos for all group members.

5. Recording Prompts and Discretionary Clips

Panoptik includes two types of recording: random recording prompts and discretionary clips.

For random prompts, Panoptik may randomly select a member of an event to record a clip. The selected user has two minutes to respond. If no recording is made in time, the user is marked as having missed the prompt.

Users may record a limited number of optional discretionary clips. The number allowed per day is set by the event creator during event creation. The creator also sets video length and number of random prompts, which may depend on the desired final-video length.

Safety first: never record while driving, operating machinery, or in any situation where recording would be unsafe or unlawful. Prompts are always optional. Ignoring a prompt only marks it missed; you alone are responsible for deciding whether it is safe and appropriate to record.

Panoptik does not guarantee that every notification will be delivered, received, opened, or completed. Network conditions, device settings, disabled notifications, permissions, operating-system behavior, and other factors may affect prompts.

6. Reveal and Viewing

Clips are hidden from group members until the event ends automatically or the creator ends it early. After reveal, authorized members of the same event or group can view the event clips and final event video.

Panoptik is not responsible for how other users react to, interpret, screen-record, externally record, describe, or share content after viewing it.

7. Downloads and Paid Features

After reveal, free users may download or export the standard final automatically generated event video. Individual original clips are not downloadable by default.

Panoptik may offer paid per-event features through Apple in-app purchases, including access to select clips for a highlight reel and access to download individual original clips.

Apple’s App Store in-app purchase system handles purchases, payments, refunds, and billing. Panoptik does not directly process or store payment-card information.

Paid features are provided according to the functionality available at purchase. Panoptik does not guarantee that a specific clip, highlight, export, or final video will remain available if an event, account, content, or data is deleted, expires, becomes unavailable, or violates these Terms.

8. User Content

“User Content” means videos, audio, profile photos, usernames, event information, and other content submitted, recorded, uploaded, created, or shared through Panoptik. You retain ownership of your User Content, subject to the rights granted in these Terms.

You grant Panoptik a limited, worldwide, non-exclusive, royalty-free license to host, store, process, transmit, display, perform, reproduce, modify for technical purposes, transcode, compress, create thumbnails from, make available, and otherwise use User Content only as needed to operate, provide, improve, secure, support, and enforce Panoptik.

This license includes rights needed to store and process clips; display clips to authorized event members after reveal; generate final event and applicable highlight videos; enable permitted downloads and exports; provide support; investigate safety, security, abuse, or legal issues; and enforce these Terms.

Panoptik will not use videos or clips for marketing, advertising, or public promotion without separate permission and will never use user videos or clips for AI or model training.

9. Group Access to Content

Panoptik events are shared group experiences. A clip recorded in an event may become visible to other authorized members after reveal.

If you leave an event, your existing clips remain in it. If you delete your account, clips already recorded in existing group events may remain with your display identity attached until the event is deleted or the applicable retention period ends.

Other event members may download the final event video and, if paid features are enabled, individual original clips. Panoptik cannot control copies users save, record, export, or share outside Panoptik.

10. Recording Consent and Responsibility

You are responsible for clips you record and submit through Panoptik and agree to record and submit content only when you have the legal right to do so.

You are responsible for obtaining consent required by applicable law, including from people who appear in or can be heard in clips. Some states, including California, require all parties’ consent before recording certain private conversations. You are responsible for knowing and following applicable recording and consent laws.

You may not record, upload, or share content that violates another person’s privacy, publicity, recording, confidentiality, intellectual-property, or other legal rights.

You may not use Panoptik to secretly record people where consent is required, record people in private settings without permission, harass others, exploit minors, or capture unlawful or unsafe content.

11. Prohibited Content and Conduct

You may not use Panoptik to create, record, upload, share, or distribute content that is illegal, harmful, threatening, abusive, harassing, defamatory, or invasive of privacy.

Prohibited content includes sexual exploitation, abuse, or sexualized content involving minors; non-consensual intimate imagery or audio, including realistic computer-generated or AI-generated depictions; nudity, sexual content, or intimate content recorded or shared without valid consent; and content promoting violence, self-harm, terrorism, exploitation, or serious harm.

You may not target people based on protected characteristics; dox, stalk, threaten, or impersonate another person; violate copyright, trademark, publicity, privacy, or other rights; distribute malware, spam, scams, or deceptive content; bypass app limits, security, payment systems, or access controls; or interfere with Panoptik’s systems, infrastructure, or other users.

You also agree not to scrape, reverse engineer, attack, overload, or misuse Panoptik or its systems.

12. Support, Safety, and Content Review

Panoptik is designed for private groups and does not routinely review videos before reveal. Users may report content or contact support about safety, inappropriate or non-consensual content, illegal content, account issues, event issues, or other concerns through the app or by emailing support@panoptikapp.com.

If a report is made or we otherwise become aware of a potential violation, Panoptik may review reported event, clip, account, or related information; remove or restrict violating content; suspend or terminate accounts; restrict abusive users; preserve information for legal, safety, or security reasons; report serious illegal activity where required or appropriate; or take other action reasonably necessary to protect users, Panoptik, or others.

Panoptik does not guarantee that all objectionable content will be detected or removed.

13. Non-Consensual Intimate Content

Panoptik prohibits non-consensual intimate visual depictions (“NCII”), including authentic images, video, or audio and realistic computer-generated or AI-generated depictions of an identifiable person shared without consent. You may not record, upload, share, threaten to share, or participate in sharing NCII.

Anyone may request removal by emailing support@panoptikapp.com with “NCII Removal Request” in the subject line. A valid request must include a physical or electronic signature; identification of and information reasonably sufficient to locate the depiction; a brief good-faith statement that the depiction is non-consensual; and contact information.

Upon a valid request, Panoptik will remove the reported depiction as soon as possible and in any case within 48 hours, make reasonable efforts to identify and remove known identical copies, assign the request an identifying number, and notify the requester when content has or has not been removed and why.

Panoptik may remove or restrict content in good faith based on a request or facts suggesting it is NCII, even if later determined lawful, and will not be liable for good-faith removal. Accounts involved in NCII violations may be suspended or terminated and violations may be reported to law enforcement.

14. Copyright Policy (DMCA)

You may use Panoptik only with content you have the right to record and share. You may not submit content that infringes copyright, trademark, privacy, publicity, or other rights, including unauthorized recordings of copyrighted music, performances, screens, broadcasts, films, or other protected material where use is not permitted by law.

Panoptik responds to notices of alleged copyright infringement under the Digital Millennium Copyright Act. Send a written notice to support@panoptikapp.com with “DMCA Notice” in the subject line.

A notice must include your physical or electronic signature; identification of the copyrighted work; identification of the allegedly infringing material and information sufficient to locate it; contact information; a good-faith statement that use is not authorized by the owner, agent, or law; and a statement under penalty of perjury that the notice is accurate and you are the owner or authorized to act for the owner.

After a valid notice, we may remove or disable access to the material and notify the user who posted it. The affected user may submit a counter-notification containing the elements required by 17 U.S.C. § 512(g). We may restore material after a valid counter-notification unless the claimant tells us they filed a court action. Panoptik may terminate repeat infringers.

15. Notifications and Permissions

Panoptik uses push notifications for random recording prompts and event-reveal or event-end notices. Notifications are important to the experience; disabling them may cause you to miss prompts.

Panoptik may request camera and microphone permissions so you can record clips and may request photo-library access only to choose an optional profile photo.

16. Retention and Deletion

Panoptik retains original clips, final event videos, and highlight videos for 14 days after an event ends unless deleted earlier or retained for legal, safety, security, support, or enforcement reasons.

After the 14-day period, Panoptik automatically deletes those files from the app. Deleted information is removed from active systems promptly; backup copies may remain until removed or overwritten through ordinary backup cycles.

17. App Store and Apple Terms

If you download Panoptik from Apple’s App Store, your use may also be subject to Apple’s applicable terms, rules, and policies, including the Apple Media Services Terms and Conditions.

These Terms are between you and Panoptik only, not Apple. Apple is not responsible for Panoptik, its content, maintenance, or support. Panoptik is solely responsible for the app, its content, and claims relating to it, including product liability, regulatory compliance, consumer-protection, and intellectual-property claims.

If the app fails to conform to an applicable warranty, you may notify Apple, and Apple may refund the app purchase price, if any, to the maximum extent permitted by law. Apple has no other warranty obligation.

Paid features are offered through Apple in-app purchases. Apple processes payments and refund requests through the App Store system.

You represent that you are not located in a country subject to a U.S. Government embargo or designated as a terrorism-supporting country and are not listed on a U.S. Government prohibited or restricted-party list. You must comply with applicable third-party terms when using the app.

Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them. Questions, complaints, and claims regarding the app should be directed to Panoptik.

18. Privacy

Your use of Panoptik is also governed by our Privacy Policy, which explains how we collect, use, disclose, retain, and protect information.

19. Service Availability

Panoptik may change, suspend, limit, or discontinue parts of the service at any time.

We do not guarantee Panoptik will always be available, uninterrupted, secure, error-free, or compatible with every device, network, operating system, or App Store region.

We are not responsible for lost clips, failed uploads, missed prompts, failed notifications, delayed reveals, corrupt exports, unavailable downloads, deleted events, expired retention periods, or third-party service issues.

20. Termination

You may stop using Panoptik at any time.

We may suspend, restrict, or terminate your account or access if we believe you violated these Terms, created legal or safety risks, abused the service, infringed rights, attempted to bypass security or payment systems, or used Panoptik unlawfully.

Termination may result in loss of access to your account, events, clips, videos, paid features, and other content.

21. Disclaimers

Panoptik is provided “as is” and “as available.”

To the fullest extent permitted by law, Panoptik disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, availability, security, accuracy, and reliability.

Panoptik does not control what users record, say, do, or share inside or outside the app. You are responsible for your conduct and User Content.

22. Limitation of Liability

To the fullest extent permitted by law, Panoptik and its operator will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, data, goodwill, content, clips, videos, or other intangible losses.

To the fullest extent permitted by law, Panoptik’s total liability for any service-related claim will not exceed the greater of the amount you paid Panoptik for the event feature giving rise to the claim or $50.

Some jurisdictions do not allow certain liability limitations, so some limitations may not apply to you.

23. Indemnity

You agree to defend, indemnify, and hold harmless Panoptik and its operator from claims, damages, liabilities, losses, costs, and expenses, including reasonable attorneys’ fees, arising from or related to your use of Panoptik; User Content; violation of these Terms; violation of another person’s rights; violation of recording, privacy, consent, intellectual-property, or other laws; or conduct in an event or group.

24. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we may notify users through the app, by email, or by other reasonable means.

Updated Terms are effective when posted unless a later effective date is stated. Continued use after updated Terms become effective means you accept them.

25. Governing Law and Disputes

These Terms are governed by the laws of the State of California, without regard to conflict-of-law rules.

Any dispute arising from or related to these Terms or Panoptik will be handled exclusively in state or federal courts located in California, and you consent to personal jurisdiction and venue in those courts unless applicable law requires a different forum.

26. General Terms

Entire agreement. These Terms, together with the Privacy Policy, are the entire agreement between you and Panoptik regarding the service and supersede prior agreements or understandings on that subject.

Severability. If a provision is unenforceable or invalid, it will be limited or eliminated to the minimum extent necessary and the remaining provisions will remain in force.

No waiver. Failure to enforce a right or provision is not a waiver of it.

Assignment. You may not assign or transfer these Terms or your account. Panoptik may assign these Terms in connection with a merger, acquisition, reorganization, sale of assets, operation of law, or a successor entity.

Survival. Provisions that by their nature should survive termination—including User Content licenses and Sections 9, 13, 14, and 21 through 26—survive termination.

Force majeure. Panoptik is not liable for delay or failure caused by events outside reasonable control, including natural disasters, war, terrorism, riots, labor conditions, government action, internet or utility disturbances, or third-party-service failures.

Electronic communications. You consent to receive communications electronically and agree that electronic agreements, notices, disclosures, and communications satisfy legal writing requirements.
